1) Service Provider (Identity)

2) Definitions
"Yeda", "we", "us" – the service provider identified above. "Customer" – the buyer of the service (parent/guardian for a minor Student, or an adult student). "Student" – the person attending the session (may be the same person as the Customer if adult). "Lesson" – an online 1:1 lesson (Math, English, Physics, or learning skills) structured as two 25-minute teaching blocks with a 30-minute independent work block in between (approx. 80 minutes total). "Practice Session" – an approx. 80-minute guided study block in which 2–4 students work independently in separate breakout rooms while a teacher rotates between them to provide feedback and guidance. "Learning Specialist Service" – observation, assessment, and recommendations by Yeda's learning specialist, working with the student, teacher, and parents. "Program" – a monthly arrangement defining the intended number of sessions per month, which determines the applicable per-session rate.
3) Acceptance of Terms
By booking a session or starting a program, you confirm that you have read, understood, and accepted these Terms. When purchasing for a minor Student, you confirm that you are legally authorized to do so.
4) Services
Yeda provides online learning for teens (typically ages 13–18) delivered via Microsoft Teams or Zoom. Supporting materials may be shared via Microsoft 365/SharePoint/OneDrive.
Getting started: Customers may begin with a free intake consultation, or with a reduced-price introductory lesson. If starting with the introductory lesson, a free consultation follows.
Yeda Student Card (optional): Customers may opt in to the Yeda Student Card, an internal tool that organizes information about the Student's learning journey to support our team's work. Participation is voluntary and governed by our Privacy Policy (Section 5.1); declining has no effect on service quality.
Session types and durations:

Lesson: approx. 80 minutes (25 min teaching + 30 min guided independent work + 25 min teaching)

Practice Session: approx. 80 minutes (small group, independent work with rotating teacher guidance)

Learning Specialist Service: format and scope agreed individually
5) Eligibility & Access (No User Accounts)
Customers do not create user accounts on our website. Sessions are booked through our lesson booking system, and attended via the meeting link we provide. The Customer is responsible for providing correct contact details during booking and for ensuring the Student joins with the correct link and on time. Programs are designed for teens (13–18).
6) Programs, Billing & Usage

Yeda bills monthly, based on actual usage: Customers pay only for sessions that took place (or are chargeable under Section 7).

The per-session rate depends on the number of sessions taken in the billing month: higher monthly volume qualifies for a lower per-session rate, per the pricing published on our website or communicated at enrollment.

If a Student takes fewer sessions than their program in a given month, only the sessions taken are charged, at the rate matching that month's actual volume.

If a Student takes more sessions than their program, the additional sessions are simply charged at the applicable rate. No penalties apply in either direction.

Programs can be adjusted month to month by agreement.

Where sessions are prepaid, Yeda maintains internal records of remaining entitlements.
7) Booking, Cancellation & Lateness

Cancellation/rescheduling with at least 24 hours notice: no charge.

Cancellation with less than 12 hours notice: 50% of the session fee is charged.

Cancellation with less than 1 hour notice, or no-show: 100% of the session fee is charged.

Extenuating circumstances are reviewed case by case.

Student lateness: the teacher waits up to 10 minutes; the session still ends at the scheduled time.

Yeda lateness/cancellation: if we are late by more than 10 minutes or must cancel, we will reschedule at no cost or credit the equivalent session.

Technical issues on the Student's side count as a used session; technical issues on Yeda's side or a platform-wide outage lead to a free reschedule.
8) Prices, Payments & Refunds

Prices: Prices are expressed in USD or EUR depending on the market. Where Belgian/EU VAT applies (if any), we will indicate the applicable VAT/tax treatment at checkout and on invoices.

Payment methods: bank transfer (wire/SEPA), Stripe (cards) and PayPal (if enabled). FX/bank fees on international transfers are borne by the Customer.

Refunds: unused prepaid sessions are refundable at any time, minus a processing fee of 5% or $5/€5 (whichever is higher).

Right of withdrawal (EU consumers): you have 14 days from purchase to withdraw from a distance contract. If you request that services start during the withdrawal period, you owe a proportionate amount for services already provided; once a service is fully performed within the 14 days with your express consent, the right of withdrawal no longer applies for that service.

Refund handling: refunds (where applicable) are made via the original payment method when possible.

No-shows & late cancellations: charged per Section 7 and non-refundable.

Chargebacks: unfounded chargebacks may result in temporary suspension and recovery of actual processing costs.
9) Technical Requirements
Customer ensures a stable internet connection, a suitable device, microphone and camera, and a quiet environment. Use up-to-date versions of Microsoft Teams or Zoom and a modern web browser.
10) Conduct, Safety & Academic Integrity

Harassment, discrimination, inappropriate content, unauthorized recording, and sharing of materials are prohibited.

For minor Students, the parent/guardian is the Customer of record and remains responsible for oversight and communications. Parent/guardian presence may be requested during onboarding for younger teens.

Academic integrity: Yeda does not assist with cheating, ghost-writing, or taking exams on behalf of Students.
11) Intellectual Property
All materials (lesson plans, assignments, tests, recordings if any) and software are the intellectual property of Yeda or its licensors. Materials are for the Student's personal use only and may not be distributed, published, sold, or used commercially without permission.
12) Recording & Privacy
Sessions are not recorded without prior explicit consent, which is requested during onboarding. If recording occurs, we will inform you about purpose, retention and access. For details about personal data processing, see our Privacy Policy.

14) Liability & Disclaimer
Yeda provides educational services for learning support and general information. We do not guarantee specific grades/outcomes; progress depends on the Student's effort. To the extent permitted by law, we are not liable for indirect/consequential loss or lost profits, nor for outages caused by third parties (ISPs, platforms). Our aggregate contractual liability is capped at the amount actually paid for the disputed service in the past 12 months.
15) Changes to Terms
We may update these Terms for legal compliance or service improvements. We will notify via the website or email. Changes take effect upon publication; for existing programs, the Terms in force at enrollment apply unless the update is more favorable to the Customer.
16) Governing Law & Jurisdiction

If a clause is invalid, it is replaced with a valid one closest in purpose
These Terms + Privacy Policy form the entire agreement between Yeda and the Customer.
